ESMA has published an updated overview table of thresholds with regards to the exemption for offers of securities to the public from the obligation to publish a prospectus.
The table includes a short description of the national thresholds below which no prospectus is required, a summary of any national rules which apply to offers below that threshold and hyperlinks to the relevant national legislation and rules. Furthermore the legal basis for the threshold is given.
ESMA emphasises that the information in the table is provided for information purposes only and that reference should be made to the national legislation and rules available through the hyperlinks in the table in order to obtain a complete picture of the thresholds of each Member State.
The current update incorporates changes to the rules related to Bulgaria, Croatia, Estonia, Poland, Portugal, Slovenia and Spain.
