The U.S. Securities and Exchange Commission (SEC) has published new Form 10 which will be valid through November 30, 2025 unless otherwise modified before. The form is to be used in connection with the registration of securities with the SEC in accordance with Section 12B and 12G (exemptions) of the Securities Exchange Act of 1934. It shall be noted that the form is NOT a standalone document and should be used „as a guide in the preparation of the registration statement“ which itself is very lengthy and requires additional information about the (potential) issuer’s business, management, financial condition, and prospects.
The form provides detailed instructions on filing Form 10 and outlines the basic information that must be filed as regard the issuer, its home country, the securities to be registered and their class, the exchange for which registration is sought, etc.
