The Polish Financial Supervision Authority (KNF) has issued a press statement to announce a final decision with respect to fines that were imposed on Lubelski Chmiel Investment sp. z o.o. on 22 December 2021. To recall, the KNF sanctioned the company with a penalty of
(1) PLN 900,000 for failing to notify Skarbiec Holding SA and the Commission of changes in the ownership of significant blocks of shares in Skarbiec Holding SA on five occasions and
(2) PLN 7,000,000 for
– failing to notify the Commission and Skarbiec Holding SA of the purchase of latter shares via third parties for the benefit of Lubelski Chmiel Investment sp. z o.o. within 3 months after the 33% limit of the total number of votes in Skarbiec Holding SA has been exceeded and
– failing to make a tender offer before applicable thresholds have been reached.
Subsequent to the December 2021 decision, Lubelski Chmiel Investment sp. z o.o. requested a review of the penalties. The KNF has now made a final decision, upholding the penalty noted under (2) and reducing the penalty noted under (1) to PLN 850,000 due to the fact that the number of violations pertaining to the notification of significant ownership changes was overstated and only amounted to four, instead of five.
