Following the launch of a joint public consultation to also permit the holding of general meetings by electronic means and the issuance of a corresponding response paper (please see EventID 19692 and EventID 20635 in this context for more information), a new bill, the Companies, Business Trusts and Other Bodies (Miscellaneous Amendments) Bill, was now published on Singapore Statutes Online, the official Singapore website for the publication of legal texts. The Bill makes revisions to the above noted acts to allow companies to hold general meetings either virtually, in presence, or in a hybrid form. The Bill thereby makes amendments to related provisions pertaining to, among others,
– the „physical location“ of a meeting;
– the arrangement for a meeting;
– the use of adequate technology for such meetings to enable shareholder voting and „virtual“ presence;
– the facilitation of proxy voting; and
– the electronic transmission of documents.
