The U.S. Securities and Exchange Commission (SEC) has published new Form 20-F which will be valid through December 31, 2026 unless otherwise modified before. The form is to be used by foreign private issuers to register their securities with the SEC under the Securities Exchange Act of 1934.
Form 20-F requires extensive disclosures, including information about the issuer’s business operations, financial statements, risk factors, and other material information. The purpose of the form is to provide U.S. investors with sufficient information to make informed investment decisions.
Foreign private issuers must file Form 20-F annually, as well as any time they wish to make significant changes to their securities offerings, such as issuing new shares, conducting a merger or acquisition, or changing their fiscal year end. The SEC reviews the filing and may request additional information or clarification before the registration statement becomes effective.
It shall be noted that the enclosed form is NOT a standalone document; instead, various other reports and information must be submitted along with the form to provide additional information about the (potential) issuer’s business, management, financial condition, and prospects.
